- A limitation of liability to **€50 maximum**.
- A strict Neutral Venue Declaration regarding project ownership and equity.
- A disclaimer regarding Physical Safety for location-based features.
- A Class Action Waiver for US and applicable jurisdictions.
1. Agreement to Terms
Welcome to ProjKilo. These Terms of Service ("Terms") are a binding legal agreement between you and the operator of ProjKilo, an individual entrepreneur based in Belgium.
By creating an account, joining a project, or using our site, you agree to be bound by these Terms and our Privacy Policy.
IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE IMMEDIATELY.
2. The ProjKilo Service
- 2.1. Worldwide Permissionless Work: The Service is a platform designed to facilitate global project creation and collaboration. It is provided "AS IS" with no guarantees of uptime, data persistence, or feature continuity.
- 2.2. Neutral Venue: We provide digital tools for collaboration (e.g., Project rooms, search directories, and voting engines). We do not verify the identity, skills, or intentions of users and are not a party to any agreements you make with other members.
- 2.3. User Roles: Titles used on the platform are for classification only and do not create an employment or fiduciary relationship:
- Captain / Co-Captain: The project creators, administrators, or managers.
- Crew: Active contributors committed to the project.
- Explorer: Observers or interested parties with low commitment.
3. Eligibility
To use the Service, you must be at least 16 years old and have the legal capacity to enter into binding contracts. We strictly enforce this during registration.
4. Project Ownership & Legal Structures
ProjKilo is strictly a technology provider. We do not participate in or dictate the legal structure of your projects.
- 4.1. You Retain Ownership (No ProjKilo Claim): ProjKilo does NOT claim any ownership, equity, or Intellectual Property (IP) rights over the projects, ideas, or content you create on the platform.
- 4.2. Peer-to-Peer Legal Arrangements: You and your collaborators must independently decide the legal nature of your ProjKilo. Whether the project is legally owned solely by the Captain, co-owned by the Crew, operated as a formal startup (LLC/C-Corp), or run as an informal hobby community, that decision is entirely up to you. You are solely responsible for drafting, signing, and enforcing any external legal agreements regarding IP, equity, revenue splits, or liability. ProjKilo accepts zero liability for disputes between users regarding project ownership.
- 4.3. Visibility Controls: You control the visibility of your project. Projects can be
PUBLIC (visible to anyone), INTERNAL (logged-in users only), RESTRICTED (users must apply and be approved to see content), UNLISTED (accessible only via a direct link), or PRIVATE (visible only to the owner). - 4.4. The Embassy Protocol (External Links): Projects may link to external communication channels (e.g., Discord, WhatsApp). ProjKilo is NOT responsible for any interactions or data sharing that occur on third-party platforms.
- 4.5. Special Provisions for "ProjKilo 1":Notwithstanding any other provision, the foundational platform project designated as "ProjKilo 1" (and any other official platform-operated projects) is the sole, exclusive intellectual and commercial property of the platform founder.
By joining the "ProjKilo 1" project, participating as part of its "ProjKilo Crew," or engaging in related roles (such as a "Student Ambassador"), you explicitly acknowledge and agree that your participation demonstrates solely an expression of interest. It does NOT establish you as a co-founder, employee, contractor, partner, joint venturer, or shareholder.
You possess no right, title, or interest in, and expressly waive any claim to, any intellectual property (IP), equity, shares, revenue, profit, or financial compensation of any kind generated by ProjKilo 1 or the overarching platform. All contributions of time, effort, or resources to ProjKilo 1 are strictly voluntary, gratuitous acts. No legal, contractual, or remunerative relationship is established by your participation. Furthermore, the platform founder reserves the absolute right to revoke your access, role, or participation in ProjKilo 1 at any time, for any reason, without prior notice or liability.
5. Platform Feedback & Ideas
If you submit feedback, ideas, bug reports, or feature requests regarding the ProjKilo platform itself, you grant ProjKilo a perpetual, irrevocable, non-exclusive, worldwide, fully paid-up, and royalty-free license to use, reproduce, modify, commercialize, and build upon your feedback for any purpose. Submitting platform feedback does not create any fiduciary duty or entitlement to compensation.
6. Financial & Resource Contributions
The platform allows users to log contributions (money or resources) in a public ledger.
⚠️ FINANCIAL DISCLAIMER
- No Escrow: ProjKilo does NOT process payments, hold funds, or act as an escrow agent. All financial transfers (e.g., Stripe, Bank Transfer) happen externally.
- Verification: While we may store an external transaction ID for compliance, we do not guarantee that the funds were actually received or used correctly by the Captain.
- Ledger Status: The contribution log is for project record-keeping only and is not a legally binding financial or tax document.
7. Platform Credits & Reputation System
ProjKilo may issue "Credits" or other reputation metrics to users (e.g., for referring new verified members). These Credits are strictly non-transferable, digital reputation markers with zero cash, monetary, or real-world value. They cannot be exchanged for currency, withdrawn, sold, or transferred externally. ProjKilo reserves the right to modify, expire, reset, or cancel the Credit system at any time, for any reason, without liability or compensation to the user.
8. Governance & Voting
Projects may utilize the platform's tools to cast votes on decisions, budgets, or proposals.
- Non-Binding Signals: Unless you have a separate external legal contract with your team, on-platform votes are non-binding signals of intent. ProjKilo cannot and will not legally enforce the outcome of any vote.
- Immutable Record: Votes are permanently recorded in the project history for audit purposes, even if you leave the project (see Privacy Policy).
9. Physical Safety & Locations
The Service may use static geolocation technology to show projects "Near Me" via a radius search.
⚠️ You are solely responsible for your physical safety.
ProjKilo does not screen users. If you choose to meet a "Captain" or "Crew Member" in person based on location data provided by the Service, you do so entirely at your own risk. Always meet in public places and practice standard safety protocols.
10. Prohibited Conduct
You agree not to:
- Harass, abuse, or use hate speech against other members.
- Impersonate university officials or other users.
- Scrape data, upload malware, or attempt to hack the Service.
- Use the Service for money laundering or illegal activities.
11. Copyright & IP Takedown Policy (DMCA / DSA)
We respect the intellectual property rights of others and expect our users to do the same. If you believe that your copyrighted work has been copied or used on ProjKilo in a way that constitutes copyright infringement, please notify us immediately at [email protected].
Your notice must include:
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material that is claimed to be infringing and its exact location (URL).
- Your contact information (name, address, telephone number, and email address).
- A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
- A statement, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
Repeat Infringer Policy: ProjKilo reserves the right to remove content alleged to be infringing without prior notice, at our sole discretion, and without liability to you. We will terminate a user's account if they are determined to be a repeat infringer.
12. DISCLAIMERS
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE MAKE NO WARRANTIES REGARDING UPTIME, THE ACCURACY OF USER DATA, OR THE SUCCESS OF ANY PROJECT. ANY ALGORITHMIC SORTING, RANKING, OR FEATURING OF PROJECTS (E.G., 'TRENDING') IS ENTIRELY AUTOMATED BASED ON PLATFORM ENGAGEMENT METRICS AND DOES NOT CONSTITUTE AN ENDORSEMENT, VERIFICATION, OR GUARANTEE OF SAFETY BY PROJKILO.
13. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY BELGIAN LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS IS CAPPED AT FIFTY EUROS (€50.00). WE ARE NOT LIABLE FOR INDIRECT DAMAGES, DATA LOSS, DISPUTES BETWEEN USERS, OR LOSS OF PROFITS.
*Note for EU Consumers: This limitation does not exclude liability for death, personal injury, or gross negligence where prohibited by mandatory law.
14. Indemnification
You agree to hold harmless ProjKilo and its operator from any claims arising from your use of the Service, your project collaborations, disputes with other users, or your violation of these Terms.
15. AI Disclaimer
Projkilo may use AI to suggest projects or analyze content. While we strive for accuracy, AI models can hallucinate. You should verify any AI-generated insights independently. The codebase of ProjKilo itself was assisted by AI tools.
16. Dispute Resolution & Governing Law
- Mandatory Negotiation: You agree to negotiate any dispute informally for at least 60 days by contacting [email protected].
- Governing Law: These Terms are governed by the laws of Belgium.
- Jurisdiction: Exclusive jurisdiction lies with the courts of Brussels, Belgium.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
18. Notice for United States Users
ProjKilo is a "provider of an interactive computer service" under 47 U.S.C. § 230 and is not responsible for User Content. California users may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at (916) 445-1254.
20. Class Action Waiver
WHERE PERMITTED UNDER THE APPLICABLE LAW, YOU AND PROJKILO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
